Terms of Service
Last Updated: July 19, 2026
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "Client", or "User") and PAYOU LTD, a company registered in England and Wales under company number 17335660, with its registered office address at 128, City Road, London, EC1V 2NX, United Kingdom ("PAYOU", "Company", "we", "us", or "our"). By accessing, browsing, registering, or integrating our payment software, API, technical aggregation dashboard, or infrastructure platform (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must immediately cease using all software and technical Services provided by PAYOU.
2. DESCRIPTION OF SERVICES
PAYOU LTD functions exclusively as a technical financial software aggregator and payment routing infrastructure provider. We develop, maintain, and license technical interfaces, APIs, and smart routing logic that allow commercial businesses to integrate international credit/debit card processing (including Visa and MasterCard), mobile wallets, and localized alternative payment methods (APMs).
PAYOU LTD IS NOT A BANK, LICENSE CREDIT INSTITUTION, OR LICENSED DIRECT FINANCIAL SERVICES PROVIDER. PAYOU LTD does not directly engage in deposit-taking, money transmission, or currency issuance. All direct transaction clearing, physical funds acquisition, alternative merchant accounts (MID) provisioning, and processing settlement rails are handled exclusively by licensed partner financial services companies, principal payment providers, and authorized global third-party acquiring banks under separate settlement frameworks.
3. MERCHANT ACCOUNT REGISTRATION & VERIFICATION
To utilize our API infrastructure, Merchants must complete our technical onboarding process. You agree to provide accurate, current, and complete corporate, operational, and beneficial ownership (UBO) information as requested during registration. You are solely responsible for maintaining the absolute confidentiality of your integration credentials, corporate dashboard tokens, and API secret keys. Any and all traffic or transactional API requests received under your software keys will be deemed authorized by you.
4. USER REPRESENTATIONS & LEGAL TRAFFIC
By executing integrations via PAYOU, the Merchant explicitly represents and warrants that:
- a) It holds all required corporate authority, regional registrations, and operational licenses to sell the digital or physical goods/services listed on its integrated web domain.
- b) Its commercial traffic, digital content, and delivery mechanics strictly comply with global card scheme regulations (Visa and MasterCard Rules), PCI DSS specifications, and the applicable national laws of the United Kingdom, European Union, United States, and the customer's jurisdiction.
- c) It will under no circumstances use the technical platform to route traffic related to illicit substances, unauthorized intellectual property replication, unlicensed financial instruments, non-compliant schemes, or any other categories strictly prohibited under our underwriting regulations.
5. TECHNICAL AVAILABILITY AND FEES
While PAYOU utilizes commercial-grade infrastructure and intelligent smart routing to ensure technical availability, we do not warrant that our API or dashboard software will be uninterrupted or error-free at all times. Service availability may be affected by maintenance windows, technical telemetry updates, or global upstream failures on the part of payment processors or third-party telecommunications networks.
Merchants agree to pay the technical software usage fees, transaction route fixes, and processing margins explicitly stipulated within their separate, customized Commercial Offers or Dashboard fee configurations.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall PAYOU LTD, its directors, officers, employees, or tech infrastructure partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, transactional revenues, data, operational goodwill, or processing capabilities, resulting directly or indirectly from software downtime, technical network outages, upstream third-party acquirer freezes, regulatory interruptions, or unexpected payment method adjustments. PAYOU LTD's total cumulative liability for any claim arising out of these Terms shall not exceed the total technical software margins received by us from the Merchant during the three (3) month period immediately preceding the event giving rise to such liability.
7. GOVERNING LAW AND JURISDICTION
These Terms, and any non-contractual obligations or disputes arising out of or in connection with them, shall be governed by, interpreted, and construed strictly in accordance with the laws of England and Wales. The courts located in London, United Kingdom, shall have exclusive jurisdiction to settle any dispute or legal claim that may arise from or relate to these Terms or the usage of PAYOU technical software.
